Statement of Work

A Statement of Work, commonly abbreviated as SOW, is a formal document that outlines the specific scope of work, deliverables, timeline, and terms for a particular project or engagement, most commonly used when a company engages an outside contractor, consultant, or vendor to perform a defined body of work. A well-constructed SOW provides clarity for both parties about exactly what is expected, helping to prevent misunderstandings or scope disputes as the project progresses. A typical SOW includes elements such as a detailed description of the project's objectives and specific deliverables, key milestones and deadlines, the payment structure and schedule, and any specific standards or requirements the completed work must meet. Because the SOW serves as the primary reference point for what was agreed upon, it is often incorporated into or referenced alongside a broader master services agreement or independent contractor agreement governing the overall relationship between the parties. For companies engaging contractors internationally, a clearly defined SOW also plays a role in supporting proper worker classification, since a well-scoped, project-specific SOW helps demonstrate that the engagement is genuinely structured as independent contractor work rather than resembling an ongoing employment relationship that might otherwise require different legal treatment.
