Employee Stock Purchase Plan

An Employee Stock Purchase Plan, commonly abbreviated as ESPP, is a company-sponsored benefit that allows employees to purchase shares of their employer's stock, often at a discounted price relative to the current market value, typically funded through regular payroll deductions over a defined offering period. ESPPs are a way for companies to give employees a direct financial stake in the company's success while offering a potentially attractive investment opportunity. Under a typical ESPP structure, employees elect to contribute a portion of their paycheck over a set offering period, and at the end of that period, the accumulated contributions are used to purchase company stock, often at a discount that can range from around five to fifteen percent below the market price. Some plans also include a lookback feature that allows the purchase price to be based on the lower of the stock price at the beginning or end of the offering period. ESPPs are most commonly offered by publicly traded companies, since the plan requires employees to be able to purchase and eventually sell shares of stock on the open market. This benefit is generally structured around a company's home-country tax and securities regulations, meaning its availability and specific tax treatment can vary for employees located in different countries.
